Agreement to the Terms of Service

Welcome to Alator Corporation (ยซAlatorยป, which may be referred to as ยซweยป, ยซusยป, or ยซourยป)! These Terms of Service (ยซTOSยป) apply to the services (ยซServicesยป) provided by Alator, its subsidiaries and affiliates, and to the Alator website located at www.alator.com, together with all associated sites linked to www.alator.com by Alator, its subsidiaries and affiliates, including Alator international sites (collectively, the ยซSiteยป). The Site is the property of Alator and its licensors. Any additional terms and rules provided either on our Consulting page or in our Non-Disclosure Agreement (ยซNDAยป), Personal Agreement (ยซPAยป), and/or Business/Government Services Contract (ยซBSC/GSCยป) become part of your agreement with us. For the avoidance of doubt, these TOS are intended to function together with the other contractual and policy documents made available to you through the Site or your Client account, rather than in isolation.

IF YOU USE THE SITE AND OUR SERVICES, YOU AGREE TO THESE TERMS. PLEASE READ THEM CAREFULLY AND REVIEW THE NDA, PA, AND BSC/GSC PROVIDED VIA YOUR CLIENT ACCOUNT. ALL OF THESE DOCUMENTS GOVERN YOUR USE OF OUR SERVICES AND THE SITE. ALATOR RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CHANGE THE SITE AND ITS POLICIES AND TO MODIFY, ADD, OR REMOVE PORTIONS OF THESE TOS AT ANY TIME. IF ANY OF THESE TERMS SHALL BE DEEMED INVALID, VOID, OR FOR ANY REASON UNENFORCEABLE, THAT TERM SHALL BE DEEMED SEVERABLE AND SHALL NOT AFFECT THE VALIDITY AND ENFORCEABILITY OF ANY REMAINING TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE AND OUR SERVICES. YOUR CONTINUED USE OF THE SITE OR OUR SERVICES FOLLOWING THE POSTING OF REVISED TERMS CONSTITUTES YOUR ACCEPTANCE OF THOSE REVISED TERMS, UNLESS APPLICABLE LAW REQUIRES A DIFFERENT FORM OF NOTICE OR CONSENT.

Privacy

Please review our Privacy Policy, which also governs your visit to our Site, so that you understand our practices. Where these TOS and the Privacy Policy overlap, both documents should be read together and interpreted in a consistent manner.

Electronic Communications

When you visit our Site, send requests to us via our Contact Form, discuss your needs with us via private messaging, or post topics in your Client account, you are communicating with us electronically. By using our Site and Services, you consent to receive communications from us electronically. We will communicate with you by e-mail or by private messages and postings in your Client account on this Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You also agree that electronic records maintained by us in the ordinary course of business may be used to document communications, transactions, notices, and account activity relating to your use of the Site and our Services.

Copyright

All content and works of authorship contained on this Site, including but not limited to designs, text, graphics, logos, button icons, images, etc., are owned, except as otherwise expressly stated, by Alator or its licensors, and are protected by United States and international copyright laws and treaty provisions. No ownership interest in any Site content is transferred to you by your use of the Site or our Services.

Trademarks

Alatorโ€™s trademarks may not be used in connection with any service that is not Alatorโ€™s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Alator. All other trademarks not owned by Alator or its subsidiaries that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Alator or its subsidiaries. Nothing in these TOS grants you any license or right to use any trademark, service mark, trade dress, logo, or other branding element of Alator except as expressly stated in writing by us.

Your Use of Our Services

By retaining our Services for PAS/FAS (Levels 1 and 2) you agree to and fully understand the following:

  • We do not provide medical advice and/or medical treatments
  • We help Clients search for potential new treatments for a disease of the Clientโ€™s choice
  • We provide evaluation and scientific analysis of a new treatment in which the Client expresses an interest
  • Clients independently select their treatment, medical doctor and/or medical facility
  • Clients independently deal with medical bills and/or medical insurance coverage, travel arrangements and visas (if necessary), etc.
  • Our relationship to Client, when we are retained for PAS/FAS or CBS/CGS, is that of an independent contractor
  • Whether you retain us for PAS/FAS or CBS/CGS, you agree to our fee structure and refund policy (see below)

By using or retaining our Services, you acknowledge that our role is analytical, advisory, and evaluative in nature, and that final personal, business, medical, legal, travel, investment, and operational decisions remain your responsibility unless a signed agreement expressly states otherwise.

You may not resell, commercially use, or transfer to any third party any information obtained via our Services. Under PA, you agree that all information provided via our PAS/FAS L1 or L2 is for personal use only. If you are a business or a government, or represent any such entity, you may not retain our PAS/FAS. Any violation of the NDA, PA, or BSC/GSC by the Client automatically voids our obligations under the signed agreement/contract, terminates our Services, and may result in the Clientโ€™s civil or criminal liability. In addition, we reserve the right to suspend performance, deny further access to Services, or preserve records for enforcement purposes where we reasonably believe that misuse, misrepresentation, unauthorized transfer, fraud, or other contractual breach has occurred.

Your Use of the Site

This Site, or any portion of this Site, may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Alator. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Alator and our associates without express written consent. You may not use any meta tags or any other ยซhidden textยซ utilizing Alatorโ€™s name or trademarks without the express written consent of Alator. Any unauthorized use terminates the permission or license granted by Alator. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of Alator so long as the link does not portray Alator, its associates, or their services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Alator logo or other proprietary graphic or trademark as part of the link without express written permission. Any permitted access to the Site is personal, limited, conditional, and subject to immediate revocation by us if you violate these TOS or any other applicable agreement or policy.

The limited license to access this Site, given to you by Alator, prohibits you from violating or attempting to violate the functionality and security of this Site, including, without limitation, the following: a) taking any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Alatorโ€™s servers or networks; b) using any device, software, or technique to interfere or attempting to interfere with the proper working of the Site or Alatorโ€™s servers or networks; c) pretending that you are, or that you are representing, someone else or impersonating any other individual or entity to access data not intended for your viewing or logging into a server or account that you are not authorized to access; d) probing, scanning, or testing the vulnerability of our servers or network, or breaching security or authentication measures without proper authorization, or using data mining, robots, or similar data gathering and extraction tools; e) using the Site or any Content for any purpose that is unlawful or prohibited by these terms. These restrictions are intended to protect not only our systems and content, but also our users, Clients, records, and confidential communications.

Alator reserves the right, at its sole discretion and without prior notice, to bar any such activity and terminate your access to the Site and our servers if you violate these TOS or other agreements. Nothing in this section limits any additional remedy available to us under contract, statute, common law, or equity.

Client Account

We grant you a limited license allowing you to register as a Client if you would like to retain our Services and sign a PA or BSC/GSC, including an NDA, etc.

By registering for a Client account on this Site, you agree to pay the required minimum fee:

  • If you retain our services and we take your case, this minimum fee is counted towards your full payment for our services
  • This minimum fee is non-refundable, even if after registration you will decide against retaining our services (Note: in case of your refusal, considering that we did not sign the documents and did not start our services yet, the payment, which you submit with your documents, is refundable, but not the minimum fee)
  • This minimum fee is non-refundable, even if after evaluation of your case we will refuse our services (Note: in case of our refusal, the payment, which you submit with your documents, is refundable, but not the minimum fee)
  • After all documents are signed by both parties (i.e. Client and us) and we started our services, all payments made to Alator Corporation become non-refundable.

You understand that registration does not itself guarantee acceptance of your matter, entry into a final contract, or availability of Services. We retain sole discretion to evaluate whether a proposed matter is appropriate for our firm and whether we are willing or able to proceed.

If you register for a Client account, you agree to provide us with true and complete information. You may not use a false e-mail address, fake names and/or other fake personal and/or business information, impersonate any person or entity, or otherwise mislead about any information. In order to get answers to questions you may have about our services, you may ask a few questions via our Contact Form, as long as you do not abuse this service and privilege. If you are under 18 years of age, you may use our Site and Services only with involvement of a parent or guardian. We and our associates reserve the right to terminate accounts, remove or edit content, or refuse Services at our sole discretion. We may also request reasonable supporting information or clarification when necessary to verify identity, authority, eligibility, or the accuracy of account information.

Password and Security

It is your responsibility to choose a strong password during the registration process on this Site. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activities that occur under your account as a result of your failing to keep this information secure and confidential. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. You are responsible for all use of your account credentials unless and until you notify us of unauthorized use and we have a reasonable opportunity to respond.

Disclaimer of Warranties

THIS SITE AND ITS CONTENT AND SITE-RELATED SERVICES ARE PROVIDED BY ALATOR ON AN ยซAS ISยซ AND ยซAS AVAILABLEยซ BASIS, WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE, SITE-RELATED SERVICES, AND HYPERLINKED WEBSITES. ALATOR DOES NOT WARRANT THAT THIS SITE, ITS SERVERS, ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE, OR E-MAIL SENT FROM ALATOR WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER ALATOR NOR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, OR AGENTS WILL BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, SITE-RELATED SERVICES, CONTENT, OR INFORMATION CONTAINED WITHIN THE ยซSITEยซ, AND/OR ANY HYPERLINKED WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, SITE-RELATED SERVICES, AND/OR HYPERLINKED WEBSITES IS TO STOP USING THE SITE AND/OR THOSE SERVICES. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. Applicable Law

By visiting this Site and using our Services, you agree that the laws of the state of Maryland, USA, without regard to principles of conflict of laws, will govern these TOS and any dispute of any sort that might arise between you and us or our associates. You further acknowledge that Alator Corporation is located in Maryland and that Maryland is the intended legal and contractual center of performance, interpretation, and administration for these TOS unless a signed written agreement expressly provides otherwise.

Disputes

Any dispute relating in any way to your visit to our Site or to Services you purchase through this Site shall be submitted to confidential arbitration in Maryland, USA, except that, to the extent that you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of Maryland, USA, and you consent to the exclusive jurisdiction and venue of such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitratorโ€™s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise. Without limiting the foregoing, you agree that any claim arising out of or relating to these TOS, the Site, or our Services shall be brought only on an individual basis and not as part of any class, consolidated, representative, or collective action, to the extent permitted by applicable law.
